Terms of Service, Risk Disclaimer & Liability Waiver

These Terms of Service, together with the Risk Disclaimer and Liability Waiver set out below (collectively, these “Terms”), form a legally binding agreement between you (“you,” “your,” or “Member”) and Generational Wealth Holdings Corp. and its operators (“Generational Wealth,” the “Company,” “we,” “us,” or “our”). They govern your access to and use of the Generational Wealth website at gwhlds.com (the “Site”), our Patreon membership, our Discord server and community, and all related content, communications, tools, and services (collectively, the “Services”). By accessing, browsing, joining, subscribing to, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1Acceptance & Eligibility

You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher), that you have the legal capacity to enter into these Terms, and that your use of the Services does not violate any law or regulation applicable to you. The Services are not directed to, and may not be used by, anyone under 18. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.

2Definitions; the “Released Parties”

“Content” means all information made available through the Services, including market commentary, watchlists, trade ideas, callouts, alerts, signals, charts, screenshots, breakdowns, education, opinions, messages, and discussion. “Member Content” means anything posted by users.

“Released Parties” means, collectively, Generational Wealth and each of its past, present, and future owners, founders, principals, officers, directors, shareholders, members, managers, employees, agents, and representatives; its independent contractors and consultants; the developers, designers, engineers, agencies, and hosting and infrastructure providers who built, operate, host, or maintain the Site and the Services; the administrators, moderators, and volunteers who operate or moderate the Discord server; any person who posts, shares, transmits, or otherwise communicates any market commentary, trade idea, callout, alert, signal, or analysis through the Services; and the Company’s affiliates, parents, subsidiaries, partners, sponsors, licensors, suppliers, successors, and assigns. Each Released Party is an intended third-party beneficiary of these Terms and may enforce them directly.

3Educational Purpose Only — No Financial Advice

All Content is provided strictly for general educational and informational purposes only. It is not, and must never be construed as, financial, investment, tax, accounting, legal, or trading advice, nor as a research report, nor as a recommendation, endorsement, offer, or solicitation to buy, sell, hold, or transact in any security, option, future, derivative, cryptocurrency, token, or other financial instrument or asset. No Content takes into account your particular objectives, financial situation, or needs. You should not treat any Content as a substitute for independent professional advice, and you should consult a licensed financial professional, broker, and/or tax adviser before making any financial decision.

4No Advisory or Fiduciary Relationship

Generational Wealth is not a registered investment adviser, broker-dealer, commodity trading advisor, financial planner, or licensed professional of any kind, and does not purport to be. Nothing in the Services creates any advisory, fiduciary, brokerage, agency, partnership, employment, or other professional or special relationship between you and any Released Party. We do not manage money, hold custody of any funds or assets, place trades for you, or have discretionary authority over any account. No Released Party owes you any fiduciary duty.

5Assumption of Risk

Trading and investing in securities, options, futures, cryptocurrencies, and other instruments are speculative, carry a high degree of risk, and are not suitable for every person. You expressly acknowledge, understand, and agree that:

• You can lose some, all, or more than the amount you invest, and leverage and margin can magnify losses;
• You are solely and exclusively responsible for your own trading and investment decisions and their outcomes;
• You should never trade or invest money you cannot afford to lose;
• Any action you take based on or influenced by the Content is taken at your own risk and in your sole discretion;
• Markets are volatile and unpredictable, and no strategy, system, or discipline can eliminate the risk of loss; and
• You knowingly and voluntarily assume all risks associated with your use of the Services and with any trading or investing activity.

6No Guarantees; Results, Performance & Testimonials

Past performance is not indicative of, and is no guarantee of, future results. We do not guarantee any profit, income, outcome, or level of performance, and we expressly disclaim any such representation. Any results, screenshots, profit/loss figures, or examples shared by the Company or by any Member are individual, may not be verified, are not audited, and are not typical. Your results will vary, and you should expect that most people who trade lose money. Testimonials reflect the personal experiences of individuals, may not reflect the typical experience, and are no assurance of future performance or success; some testimonial providers may have received free or discounted access or other consideration. Hypothetical, simulated, backtested, or illustrative performance has inherent limitations, benefits from hindsight, and does not represent actual trading or actual results.

7Trade Callouts, Signals & Third-Party Information

Any trade idea, callout, alert, signal, entry, exit, target, or “invalidation” level shared through the Services is a personal opinion shared for educational illustration only, is general in nature, is not tailored to you, and is not a recommendation or instruction to act. Such information may be time-sensitive, may be wrong, may be removed or revised, and may not be acted upon by the person who posted it. Content may include or rely on information from third parties; we do not independently verify and do not warrant the accuracy, completeness, timeliness, or reliability of any Content, and we are not responsible for errors, omissions, delays, or interruptions. You are responsible for verifying any information before relying on it.

8Release, Waiver & Covenant Not to Sue

To the maximum extent permitted by applicable law, in consideration of being permitted to access and use the Services, you hereby irrevocably and unconditionally release, waive, discharge, and hold harmless each and all of the Released Parties from and against any and all claims, demands, actions, causes of action, suits, liabilities, damages, losses, costs, and expenses (including attorneys’ fees) of every kind and nature, whether known or unknown, foreseen or unforeseen, that you now have or may in the future have, arising out of or relating in any way to (a) the Services or any Content, (b) any trade idea, callout, signal, or analysis, (c) any trading or investment decision, action, or inaction, or (d) any trading, investment, or financial loss of any kind.

You further covenant not to sue and agree not to bring, commence, or maintain any claim or proceeding against any Released Party in respect of any matter released above. You expressly assume full responsibility for all risk of loss and agree that no Released Party shall bear any responsibility or liability whatsoever for your trading or investment results. To the extent your jurisdiction limits the release of unknown claims, you knowingly and voluntarily waive any such protection (including, where applicable, California Civil Code §1542 and any similar law) to the fullest extent permitted.

9Disclaimer of Warranties

The Services and all Content are provided “as is” and “as available,” with all faults and without warranty of any kind. To the maximum extent permitted by law, the Released Parties disclaim all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade. The Released Parties do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any Content is accurate, complete, current, or reliable.

10Limitation of Liability

To the maximum extent permitted by applicable law, in no event will any of the Released Parties be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or trading or investment losses, arising out of or relating to the Services, the Content, or these Terms, whether based in contract, tort (including negligence), strict liability, or any other theory, and whether or not the Released Parties were advised of the possibility of such damages.

In no event will the total aggregate liability of all Released Parties to you for all claims arising out of or relating to the Services or these Terms exceed the greater of (a) the total amounts you actually paid to the Company for the Services in the six (6) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you; in such jurisdictions the Released Parties’ liability is limited to the smallest amount permitted by law. The limitations in this Section apply even if any remedy fails of its essential purpose.

11Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your trading or investment activity or decisions, (c) your violation of these Terms or any law, (d) your Member Content, or (e) your violation of any rights of a third party. We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

12Third-Party Platforms, Services & Links

Membership and payments are handled by Patreon, and community access is provided through Discord; each is an independent third party governed by its own terms and privacy policies. The Services may also contain links to or integrations with other third-party sites, tools, brokers, or data providers. The Released Parties do not control and are not responsible for the availability, content, accuracy, products, services, security, or practices of any third party, and your dealings with any third party are solely between you and that third party.

13Affiliate & Compensation Disclosure

The Company may receive compensation, commissions, referral fees, or other consideration in connection with memberships, affiliate links, sponsorships, or recommended third-party products or services. Such relationships may exist whether or not expressly stated in a given communication. Any such compensation does not constitute a recommendation that any product, service, or security is suitable for you, and you should conduct your own due diligence.

14Membership, Billing & Cancellation

Paid membership is provided and billed through Patreon on a recurring basis, subject to Patreon’s terms, until cancelled. You may cancel at any time through your Patreon account; cancellation stops future renewals, and access generally continues until the end of the then-current billing period. Except where required by applicable law, all payments are non-refundable and we do not provide refunds or credits for partial periods, unused access, or content you did not consume. We may change membership tiers, features, or pricing prospectively.

15Acceptable Use & Member Conduct

You agree that you will not: (a) redistribute, resell, republish, broadcast, scrape, or share Content, callouts, or community materials outside the Services; (b) harass, threaten, defame, or abuse any person; (c) post spam, solicitations, pump-and-dump schemes, market manipulation, or unauthorized promotions; (d) provide individualized investment advice to other Members or hold yourself out as a licensed professional; (e) post unlawful, infringing, or misleading material; (f) attempt to gain unauthorized access to, disrupt, or reverse engineer the Services; or (g) use the Services for any unlawful purpose. You are solely responsible for your Member Content and grant the Company a worldwide, royalty-free license to host, display, and use it in connection with operating the Services.

16Intellectual Property

The Services and all Content provided by the Company — including text, graphics, logos, the “Generational Wealth” name and marks, layouts, and software — are owned by the Company or its licensors and are protected by intellectual property and other laws. Subject to these Terms, you are granted a limited, personal, non-exclusive, non-transferable, revocable license to access the Services for your own personal, non-commercial use. All rights not expressly granted are reserved. You may not copy, modify, distribute, sell, or create derivative works without our prior written permission.

17Suspension & Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice and with or without cause, including for any violation of these Terms, without refund. You may stop using the Services at any time. Provisions that by their nature should survive termination — including Sections 2–13 and 16–21 — survive.

18Forward-Looking Statements & Market Data

Content may contain forward-looking or predictive statements about markets, prices, or outcomes. Such statements are inherently uncertain, are based on assumptions that may prove incorrect, and actual results may differ materially. Market data and quotes may be delayed, inaccurate, or incomplete. Nothing in the Content should be relied upon as a prediction or guarantee of any future event or result.

19Governing Law; Binding Arbitration; Class-Action & Jury Waiver

These Terms are governed by the laws of [GOVERNING-LAW STATE], without regard to its conflict-of-laws rules. Except for claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively by final and binding individual arbitration administered by a recognized arbitration provider under its applicable rules, and not in court.

You and the Company waive the right to a trial by jury and agree that any proceeding will be conducted only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding.

If the class-action waiver or arbitration provision is found unenforceable as to a particular claim, that claim shall proceed in the courts located in [GOVERNING-LAW STATE], to whose exclusive jurisdiction and venue you consent, while the remainder of this Section remains in effect. Any claim must be brought within one (1) year after it arises, or it is permanently barred to the extent permitted by law.

20Changes to These Terms

We may revise these Terms from time to time. The “Last updated” date reflects the latest version, and material changes may be indicated within the Services. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to a change, you must stop using the Services.

21General Provisions

These Terms (with the Privacy Policy) are the entire agreement between you and the Company regarding the Services and supersede any prior agreements. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in full force (severability). Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. No Released Party is liable for any failure or delay caused by events beyond its reasonable control (force majeure). You consent to receive communications and disclosures electronically. Headings are for convenience only. These Terms do not create any agency, partnership, or joint venture.
